Statement of Work
Deployment and handover of NovaSuperSyn Office: three mornings, Tuesday to Thursday.
| Provider | Provider's legal name, doing business as NovaSuperSyn |
|---|---|
| Client | Client's legal name |
| Dates | Tuesday date, Wednesday and Thursday of the same week |
| Sessions | Four hours each morning, starting at time and time zone, by video with a shared screen |
| Fee | $14,670, fixed |
1What Provider will do
| Tuesday Map it and stand it up | Map the chosen piece of work with Client's team: each step assigned to a person, an AI clerk or the system, with the check at each handoff. Deploy the Software to Client's own accounts, with Client's IT lead doing the work and Provider guiding. Sign in Client's team. Set up a first role, its permissions and limits, and a first AI clerk. Leave the team with work to do in a practice company that afternoon. |
|---|---|
| Wednesday Make it theirs | Answer the questions from Tuesday afternoon. Turn the team's knowledge of the chosen piece of work into written guidance the AI staff follow, and test it against work already done. Set the approval limits and the review routine for Client's real process. Leave the IT lead with a change to make and deploy alone that afternoon. |
| Thursday Hand it over | Answer the questions from Wednesday afternoon. Teach what Client needs afterwards: adding a role, adding a tool, connecting another system, changing a model, backups, and reading the record. Agree what Client's team will do next on its own. |
The order within each morning follows what Client's team needs. Sessions are not recorded unless both parties agree.
2What Client receives
- A working deployment of NovaSuperSyn Office on Client's own accounts, set up for one team and one piece of work chosen by Client.
- A written map of that piece of work: each step, who or what does it and why, and the check at each handoff.
- The source code of the Software as it stands on the Tuesday: NovaSuperSyn Office, the Accelerando system behind it, Agent Desk, and the Agent Registry, placed in Client's own source-control organization.
- The written guidance for deploying, maintaining, extending, and troubleshooting the Software.
- A license to use and modify the Software for Client's internal business purposes, on the terms of the NovaSuperSyn Software License signed with this Statement of Work.
3What Client will have ready
Before the Tuesday, in Client's own name and at Client's cost:
- a Cloudflare account on the paid Workers plan;
- a GitHub organization;
- a key for the AI models the Software will use;
- a web address for the deployment.
For all three mornings:
- an IT lead who will maintain the Software afterwards and has the access to create and change things in those accounts;
- a person who does the chosen piece of work day to day;
- a person with the authority to decide what the AI staff may do without asking;
- time for the team to work on it during the Tuesday and Wednesday afternoons.
Provider will send setup instructions when the dates are confirmed. If the accounts or people are not ready, Provider will use the time as well as it can, and the engagement still ends on the Thursday.
4What is not included
- Support, maintenance, hosting, or monitoring after the Thursday.
- Updates or later versions of the Software.
- Integration with Client's existing systems, data migration, or custom features beyond what the three mornings allow.
- Setting up more than one team or one piece of work.
- The cost of Client's accounts and of the AI models it uses.
5Fee and payment
- The fee is $14,670, invoiced when this Statement of Work is signed and payable in full before the first session. The dates are held for Client once payment is received.
- The fee covers the three sessions and the license. There are no other charges from Provider.
- Further work is available at $4,890 per four-hour morning, booked a morning at a time under a short addendum to this Statement of Work.
- After the engagement, Client may take a standing morning: one four-hour session a week on an agreed weekday, at $14,670 per calendar month, invoiced monthly in advance under a short addendum to this Statement of Work. Each session reports developments in AI that bear on Client's business, reviews findings drawn from Client's own records (for individual team members and for Client as a whole), reviews the record of the AI staff's work, tests newer models against Client's past work, and maps a further piece of work. Those findings come only from Client's own deployment; Provider does not combine Client's information with any other client's. It is advice and mapping, not support: there is no help desk or on-call. Either party may end it with one month's written notice. Sessions Client misses are not carried over; sessions Provider misses are rescheduled or credited.
6Changing the dates
- Client may move the engagement once to another available week at no charge, with at least five business days' notice before the Tuesday.
- Client may cancel for a full refund with at least ten business days' notice before the Tuesday. After that the fee is not refundable, and the engagement may be moved as above.
- If Provider cannot attend a session, Provider will offer the nearest available replacement or, if Client prefers, refund the fee for the sessions not delivered.
7Other terms
- Client's information. Provider will keep confidential what it learns about Client's business during the engagement and will use it only to do this work. Provider keeps no copy of Client's data, and the deployment runs on Client's accounts, not Provider's.
- Independent contractor. Provider is an independent contractor. Nothing here creates employment, partnership, or agency.
- Responsibility for the work the system does. Client decides what its AI staff may do, reviews their work, and is responsible for decisions and actions taken in its business using the Software, as the License describes.
- Liability. Each party's total liability under this Statement of Work is limited to the fee, and neither is liable for indirect or consequential loss, to the fullest extent the law allows.
- The License. Client's rights in the Software are set by the License. If this Statement of Work and the License conflict about those rights, the License governs.
- Governing law. The laws of state.
